Terms of service
Last updated: . Lamda SAS, operator of Val-Eight.
The Service is operated by Lamda SAS, a French simplified joint-stock company, with a share capital of 400 euros, registered with the Paris Trade and Companies Register under number 932 899 008, EU VAT number FR74932899008, with its registered office at 40 rue Pascal, 75013 Paris, France ("Val-Eight", "we", "us"). Contact: [email protected].
These Terms of Service ("Terms") govern your access to and use of Val-Eight, including the desktop app, the web app, the website val-eight.com, the marketplace and any related service (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company or another organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" refers to that organisation.
1. Who can use the Service
1.1. You must be at least 18 years old to create an account and use the Service.
1.2. The Service is available to both businesses ("Business Customers") and individuals acting outside of their trade or profession ("Consumers"). Some provisions apply only to Consumers or only to Business Customers. When this is the case, it is stated explicitly.
1.3. You must provide accurate information when you create your account and keep it up to date.
2. What Val-Eight does
2.1. Val-Eight lets you create AI agents ("Vals"). Each Val has a role, a memory and its own isolated computer in the cloud. A Val can use a browser, files and the tools you connect, and can run tasks on a schedule ("Routines").
2.2. You are interacting with an artificial intelligence. Vals are AI systems. Their answers and actions are generated automatically by AI models and are not reviewed by a human before they reach you.
2.3. AI outputs can be inaccurate, incomplete or inappropriate. You are responsible for reviewing the work of your Vals before relying on it, in particular for any decision with legal, financial, medical or professional consequences.
2.4. Before a sensitive action (for example sending a message on your behalf, making a payment or deleting data), a Val asks for your agreement in the conversation, according to the settings you choose. You remain responsible for the actions you approve and for the permissions you give to your Vals.
2.5. The Service is provided as it evolves. We may add, change or remove features. We will inform you in advance of any change that significantly reduces the Service you have paid for.
3. Your account
3.1. You are responsible for keeping your login credentials confidential and for all activity under your account, including the actions taken by your Vals.
3.2. Tell us immediately at [email protected] if you suspect unauthorised access to your account.
3.3. Team accounts. If you invite members to your team, you are responsible for their use of the Service. The owner of the team controls billing, roles and the deletion of the team.
4. Connected tools and integrations
4.1. You can connect third-party tools (for example Gmail, Slack, Notion, HubSpot or Stripe) to the Service. By connecting a tool, you authorise your Vals to access it within the permissions you grant.
4.2. Your use of these tools remains subject to their own terms and privacy policies. We are not responsible for third-party services, their availability or their changes.
4.3. You can disconnect a tool at any time from the app. Disconnecting a tool stops any future access by your Vals.
5. AI models
5.1. Vals run on AI models provided by third parties through OpenRouter.
5.2. We do not use your content to train AI models. The model providers process your content under their own API terms, which we do not control. You can read more in our Privacy Policy and on our Third party providers page.
6. Credits, prices and payment
6.1. The Service works with prepaid credits. Your Vals use credits while they work, depending on the effort level and the model used. Credit packs are subscriptions that renew automatically monthly or annually until cancelled through the Stripe billing portal. Direct credit recharges are separate one-time purchases at 1,000 credits per two US dollars, without a bonus.
6.2. Prices are displayed all taxes included, in US dollars on both language versions of the website. No fee is added to subscriptions. A fee of $1.50 is added only to each direct credit recharge to cover payment processing. Payments are processed by Stripe.
6.3. Credits do not expire as long as your account is active.
6.4. Credits are not refundable and cannot be exchanged for cash, except:
- where Consumers exercise their legal right of withdrawal (section 7);
- where mandatory law requires otherwise.
6.5. Free credits offered during the beta or in promotions have no cash value and may expire at the date announced when they are offered.
6.6. We may change prices. Price changes apply to future top-ups only and never to credits you have already bought.
7. Right of withdrawal (Consumers only)
7.1. As a Consumer in the European Union, you have a right to withdraw from a purchase of credits within 14 days of the purchase, without giving any reason.
7.2. When you buy credits, you ask us to start providing the Service immediately. If you withdraw within the 14-day period, we refund the price of the credits you have not used, and keep the part corresponding to the credits already used, in accordance with article L221-25 of the French Consumer Code.
7.3. To withdraw, send us a clear statement at [email protected], or use the withdrawal form below. We refund you within 14 days, using the same payment method.
Withdrawal form
To Lamda SAS, 40 rue Pascal, 75013 Paris, France, [email protected]:
I hereby give notice that I withdraw from my purchase of the following credits: [amount], purchased on [date].
Name, email address of the account, date.
8. Acceptable use
You must not use the Service, or ask a Val, to:
- break any law, or infringe the rights of others, including intellectual property, privacy and data protection rights;
- access systems, accounts or data without authorisation, bypass security measures, or scrape services in breach of their terms;
- send spam, unsolicited bulk messages or phishing;
- create or distribute malware, or attack the Service or any other system;
- generate content that is illegal, sexually exploits minors, incites violence or hatred, or harasses anyone;
- carry out any practice prohibited by the EU Artificial Intelligence Act, such as manipulating people in ways that cause them harm, social scoring, or inferring sensitive characteristics from biometric data;
- impersonate a person, or present the output of a Val as written by a human where the law requires disclosure;
- resell the Service or give access to it to third parties, except within the Integrator Program terms.
We may suspend a Val, a Routine or an account that breaches this section. Where possible, we inform you first and give you the opportunity to explain or fix the issue.
9. Marketplace
9.1. The marketplace lets users publish and install skills and plugins ("Listings"). At launch, all Listings are free.
9.2. Authors keep the intellectual property of their Listings. By publishing a Listing, an author grants each user who installs it a non-exclusive, worldwide, royalty-free licence to use it within the Service, and grants us the right to host, display and distribute it in the marketplace.
9.3. Authors are responsible for their Listings: they must be accurate, lawful, and must not contain malware or hidden data collection.
9.4. Listings are published by third parties. We do not guarantee them. Review what a Listing does and which permissions it requests before installing it.
9.5. Reporting content (Digital Services Act). Anyone can report a Listing or other content they consider illegal by writing to [email protected] with the subject "Content report", explaining where the content is and why it is illegal. We review reports diligently. If we remove or restrict content, we inform the author of the decision and its reasons, and the author can contest it by replying to that message. We may suspend users who repeatedly publish illegal content.
9.6. Paid Listings, when they become available, will be governed by additional terms.
10. Your content
10.1. You keep all rights to the content you provide to the Service and to the content your Vals produce for you ("Your Content").
10.2. You grant us a licence to host, process and transmit Your Content only to the extent needed to provide the Service to you, to secure it and to comply with the law.
10.3. You are responsible for having the necessary rights over the content and data you give to your Vals, including personal data of third parties.
11. Our intellectual property
The Service, its software, its interface, the Val-Eight name and logo, the mascots and the illustrations belong to Lamda SAS or its licensors. These Terms do not transfer any of these rights to you, except the right to use the Service in accordance with these Terms.
12. Availability and support
12.1. We do our best to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may interrupt it for maintenance, preferably at times of low use.
12.2. Support is available at [email protected] and from the Bug & Feedback section of the app.
13. Liability
13.1. Consumers. We are liable for damage caused by our failure to perform our obligations, in accordance with French law. You benefit from the legal guarantee of conformity for digital content and services (articles L224-25-1 and following of the French Consumer Code).
13.2. Business Customers. To the extent permitted by law:
- we are not liable for indirect damage, such as loss of profit, loss of business, loss of data that you could have backed up, or loss of reputation;
- our total liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim.
13.3. Nothing in these Terms limits our liability for gross negligence, wilful misconduct, death or personal injury, or any liability that cannot be limited by law.
13.4. We are not liable for the actions you approve your Vals to take, for third-party tools and models, or for the use you make of AI outputs.
14. Suspension and termination
14.1. You can close your account at any time from Settings > General. Unused credits are not refunded, except in the cases listed in section 6.4.
14.2. We can suspend or close your account if you seriously or repeatedly breach these Terms. Except in urgent cases or where the law prevents it, we inform you beforehand and explain why.
14.3. After your account is closed, your data is kept for up to 60 days, so that you can recover your account if you change your mind, then deleted, as described in the Privacy Policy.
15. Changes to these Terms
We may update these Terms. We notify you of any material change by email or in the app at least 30 days before it takes effect. If you do not agree, you can close your account before that date. Continuing to use the Service after that date means you accept the new Terms.
16. Disputes
16.1. If you have a complaint, write to [email protected] first. We will try to resolve it within 30 days.
16.2. These Terms are governed by French law. If you are a Consumer, you also benefit from the mandatory consumer protection rules of the country where you live.
16.3. Business Customers. Any dispute that cannot be settled amicably falls under the exclusive jurisdiction of the courts of Paris, France.
17. Miscellaneous
17.1. If a provision of these Terms is found invalid, the other provisions remain in force.
17.2. Not enforcing a right does not mean we waive it.
17.3. These Terms, together with the Privacy Policy and, for integrators, the Integrator Program terms, form the entire agreement between you and us about the Service.
17.4. These Terms are available in English and French. In case of discrepancy, the French version prevails for Consumers residing in France.
